A merchant cash advance lawsuit runs on a deadline, and almost everything else follows from it. In New York you have 20 days to file an Answer if you were served in person, and 30 days if you were served another way. Miss it and the funder can take a default judgment without you ever presenting a defense. Here is what the deadline means and what filing on time actually protects.

Find your deadline before you do anything else

Two facts determine your window, and both are in the papers you were handed.

How you were served. Under New York's CPLR section 320, personal service gives you 20 days to appear. Service by any other permitted method gives you 30 days.

When you were served. The clock runs from service, not from the day you opened the envelope or noticed the email. Many MCA agreements expressly permit service by mail or by email. This is how business owners end up discovering a lawsuit after the window has closed.

Check the summons for the date of service and the method. If either is unclear, that ambiguity may itself matter, since errors in service can delay a case or provide grounds to challenge it.

One clarification worth making, because the two get confused: being served is not the same as having a judgment. Being served means the case has started and you have a window. A judgment means the window closed.

Why you are being sued in New York when your business is not

A restaurant in Texas, a trucking company in Georgia, a contractor in Florida, all can find themselves defendants in a New York Supreme Court they have never visited.

This is deliberate. Nearly every MCA agreement contains a New York jurisdiction and venue clause, typically in the fine print, signed under pressure to cover payroll or inventory. New York has become the epicenter of MCA litigation in the United States, with thousands of cases filed there annually against businesses that operate elsewhere.

Funders prefer New York for structural reasons. New York law has generally treated genuine purchases of future receivables as falling outside usury caps, and the state's commercial courts handle these matters routinely.

Being sued out of state does not mean you have no defense. It means the defense has to be raised in a New York court, on New York procedure, within a New York deadline.

What filing an Answer actually does

An Answer is a formal court filing responding to the allegations. It is not a letter to the funder, a phone call, or a settlement discussion.

Filing an Answer does three things.

It stops the case progressing uncontested. Without an Answer, the court has nothing in front of it but the funder's version and can rule accordingly.

It preserves your defenses. Defenses not raised are generally lost. Filing keeps recharacterization, improper service, breach by the funder, and any counterclaims available.

It changes the negotiating posture. Before you appear, the funder's optimal strategy is delay, because every day brings the default judgment closer. Once you appear, delay stops paying and settlement discussions have to become real.

What an Answer does not do: it does not end the lawsuit, it does not automatically stop collection activity, and it does not by itself reduce the balance. It buys you the right to fight, which is a precondition for everything else.

What happens if you do not answer

The funder moves for a default judgment. In many cases the judgment is entered by a clerk rather than a judge, meaning nobody weighs the merits.

The judgment awards the full amount claimed, plus fees and costs. Then enforcement begins:

  • a restraining notice under CPLR section 5222, which freezes business bank accounts
  • levies on receivables and merchant processing
  • asset seizure through a marshal or sheriff
  • enforcement against any personal guarantor on the agreement
  • a court judgment appearing on credit records, which affects future access to capital

A frozen account halts payroll, vendor payments, and card processing the same day it lands. For most small businesses that is not a financial setback, it is an operational stop.

Can a default judgment be undone?

Sometimes. Vacatur may be available where service was improper, or where you can show a reasonable excuse for the default together with a meritorious defense. In 2025 the New York Attorney General reached a settlement that resulted in roughly 1,100 MCA judgments being discharged and more than $500 million in debt extinguished nationwide, on the argument that the advances were usurious loans disguised as purchases of receivables. The settlement also released the associated UCC liens.

That is real precedent, and it is worth knowing. It is also not a plan. Vacatur is a motion you have to win, on grounds that may not exist in your case. Answering within the deadline costs a fraction of undoing a judgment.

The defenses that matter in MCA litigation

Every case turns on its own contract and facts. These are the arguments that recur.

Recharacterization, meaning the advance was really a loan. This is the central battleground. New York courts apply a three-factor test from LG Funding, LLC v. United Senior Properties of Olathe, LLC (2d Dep't 2020), adopted by the Second Circuit in Fleetwood Services, LLC v. Ram Capital Funding, LLC:

  • Is there a genuine reconciliation provision?
  • Is the repayment term genuinely indefinite rather than a fixed schedule?
  • Does the funder retain recourse if the merchant declares bankruptcy?

Reconciliation language on paper is not sufficient. Courts have examined whether the mechanism works in practice. Discretionary wording such as "may" instead of "shall," documentation requirements that make reconciliation effectively unavailable, or a flat refusal to reconcile all weigh against the funder. In Davis v. Richmond Capital Group (1st Dep't, May 2021), the court let claims proceed where reconciliation was discretionary and allegedly refused, and where daily payment rates did not appear to be a good-faith estimate of receivables.

If an advance is recharacterized as a loan, New York's usury framework becomes relevant, 16% civil and 25% criminal under NY Penal Law section 190.40. How those caps apply to a corporate borrower is genuinely contested and fact-dependent. It is a question for a licensed attorney, not an article.

Improper service. MCA agreements often permit service by mail or email. Defects in how service was carried out can delay or defeat a case.

Breach by the funder. A refusal to honor a reconciliation request, or collection conduct inconsistent with the agreement, cuts both ways.

Disclosure failures. New York's Commercial Finance Disclosure Law, in effect since 1 August 2023 and enforced by the Department of Financial Services, requires standardized disclosures including an APR for commercial financing of $500,000 or less, expressly including merchant cash advances. Whether disclosure failures are available to you depends on your facts and timing.

Counterclaims. Where the funder or broker engaged in deceptive conduct, counterclaims change the arithmetic of settlement. A funder facing an active defense and discovery obligations values settlement differently from one holding a default judgment.

Can you negotiate with the funder yourself?

You can, and it is worth understanding why it usually stalls.

Before a lawsuit, a funder may treat the conversation as a negotiation. After filing, it treats it as a timeline. Callbacks slow down, settlement talk drifts, and progress stops, not by accident. Every week that passes moves the default judgment closer, and that is when the funder's leverage peaks.
